Terms of Service

These Terms of Service (these "Terms") are a binding legal agreement between you ("you," "your," or "User") and Zondo, Inc., a Delaware corporation ("Zondo," "we," "us," or "our"), governing your access to and use of the Zondo platform located at zondo.condos and any related features, tools, content, and services that link to or reference these Terms (collectively, the "Platform").

PLEASE READ THESE TERMS CAREFULLY. By clicking to accept these Terms when you register, or by accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not register for, access, or use the Platform.

ARBITRATION NOTICE. These Terms contain a binding arbitration provision and a class-action and jury-trial waiver in Article 15. These provisions affect your legal rights. Please review them carefully.

1. Eligibility and Account Registration

1.1 Eligibility.

The Platform is offered only to licensed real estate professionals. To register for and use the Platform, you represent and warrant that you: (a) are at least eighteen (18) years of age; (b) are a United States resident; (c) hold a current, active, and valid Florida real estate license issued by the Florida Department of Business and Professional Regulation ("DBPR"); and (d) are the individual named on the license you provide at registration. Access is limited to individuals whose full name and license number match the then-current DBPR licensee records. Zondo may verify licensure against DBPR records at any time, in its discretion, and may suspend or terminate access if your license cannot be verified, lapses, or becomes inactive.

1.2 Account Registration.

To access the Platform, you must register an account and provide accurate, current, and complete information, including your full name, Florida real estate license number, email address, and brokerage name. You agree to keep your account information accurate and up to date. Authentication is passwordless: access is granted through a one-time secure link sent to your registered email address. You are responsible for maintaining control of, and security over, the email account associated with your Zondo account.

1.3 One Account Per Individual; No Sharing.

Accounts are personal to the licensed individual who registers them. Each account is limited to one seat per licensed individual and is non-transferable. You may not share your account, your login link, or your access credentials with, or allow access by, any other person, including other licensees at your brokerage. You represent that you are the individual named on the license provided at registration. Permitting any other person to access the Platform using your account or credentials is a material breach of these Terms and is grounds for immediate suspension or termination of your account.

2. License to Use the Platform

Subject to your continued compliance with these Terms, Zondo grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Platform solely for your own legitimate, professional real estate business purposes during the period your account remains active. All rights not expressly granted to you are reserved by Zondo. This license does not grant you any ownership interest in the Platform or any content made available through it.

3. Acceptable Use

3.1 Permitted Use.

You may use the Platform to access building-level information, developer-submitted materials, documents, and AI-generated responses, and to share individual AI responses, building profiles, and documents with your own clients in connection with a specific, bona fide real estate transaction in which you represent that client.

You agree that you will not, and will not permit any third party to:

Any content you are permitted to share with your clients must be shared only on an individual, transaction-specific basis.

4. AI Features: Input and Output

4.1 Your Input.

You may submit questions, prompts, search terms, documents, and other materials to the Platform, whether typed or, where supported, provided by voice (collectively, "Input"). As between you and Zondo, you retain whatever ownership rights you hold in your Input. You grant Zondo a limited, non-exclusive, worldwide license to host, process, transmit, and display your Input to operate, maintain, secure, and improve the Platform, to generate Output and provide the Platform to you, to prevent fraud or abuse, to enforce these Terms, and to comply with applicable law. You represent and warrant that you have all rights necessary to submit your Input and that your Input does not violate these Terms, any applicable law, or the rights of any third party.

Input is processed using third-party artificial intelligence and related service providers engaged by Zondo to generate Output and operate the Platform. Zondo does not use your Input to train, fine-tune, or develop any artificial intelligence model, and Zondo does not permit its service providers to use your Input to train, fine-tune, or develop their models. Zondo's handling of personal information contained in Input is described in the Privacy Policy.

4.2 Ownership of Output; License to You.

As between you and Zondo, Zondo owns all right, title, and interest in and to the AI-generated output produced by the Platform ("Output"). Subject to these Terms, Zondo grants you a limited, non-exclusive, non-transferable license to use Output for your own real estate business, subject to the restrictions in Article 3.

4.3 Nature of Output; No Reliance.

Output is generated by automated systems and is provided for general informational purposes only. Output may be incomplete, inaccurate, outdated, or unavailable, and is not a substitute for independent professional judgment or verification. You are solely responsible for independently verifying any information before relying on it or communicating it to a client or third party. See Article 11 for additional disclaimers.

4.4 Non-Uniqueness of Output.

Due to the nature of artificial intelligence, Output may not be unique, and other users may receive the same or similar Output in response to the same or similar requests. You acknowledge that Output may not be eligible for intellectual property protection, and that your rights in Output may not be enforceable against other users of the Platform.

5. Developer Content and Platform Data

5.1 Developer-Submitted Content.

Certain pricing files, documents, images, and other materials made available through the Platform are submitted by real estate developers or their authorized representatives ("Developer Content"). Developer Content is provided by the submitting developer and is governed by a separate Developer Submission Agreement between Zondo and that developer. Zondo does not independently guarantee the accuracy, currency, or completeness of Developer Content.

5.2 Independently Compiled Data.

Zondo independently compiles factual building information from public sources, including condominium governing documents, county records, and other public filings ("Platform Data"). As between Zondo and any developer or User, Platform Data is Zondo's own content. Platform Data is not Developer Content and is not subject to any developer takedown or removal request.

5.3 No Representation as to Pricing.

Zondo makes no representation or warranty as to the currency or accuracy of any developer-submitted pricing or inventory information. Pricing and availability may change without notice. You must verify all pricing and availability directly with the applicable developer before relying on it.

6. Intellectual Property

The Platform, including its software, design, text, graphics, Output, Platform Data, trademarks, logos, and all other content (other than Developer Content), is owned by Zondo or its licensors and is protected by United States and international intellectual property laws. The Zondo name, the Zondo logo, and related marks are trademarks of Zondo, Inc. You may not use them without Zondo's prior written consent. Except for the limited license expressly granted in these Terms, nothing grants you any right, title, or interest in the Platform or its content.

6.1 Feedback.

If you submit any suggestions, ideas, or other feedback regarding the Platform ("Feedback"), you grant Zondo a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate the Feedback for any purpose, without any obligation or compensation to you.

7. Copyright Complaints

7.1 Reporting Claimed Infringement.

Zondo respects the intellectual property rights of others and responds to notices of claimed copyright infringement consistent with the Digital Millennium Copyright Act (the "DMCA"). If you believe that content available through the Platform infringes a copyright you own or control, you may send a written notice to Zondo's designated agent that includes substantially the following: (a) a physical or electronic signature of the person authorized to act on behalf of the owner of the copyright; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material that is claimed to be infringing and information reasonably sufficient to permit Zondo to locate it; (d) your contact information, including your name, mailing address, telephone number, and email address; (e) a statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law; and (f) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf.

7.2 Designated Agent.

Notices of claimed infringement should be directed to Zondo's designated copyright agent:

7.3 Counter-Notification.

If your content was removed or disabled and you believe the removal was the result of mistake or misidentification, you may submit a written counter-notification to the designated agent that includes substantially the following: (a) your physical or electronic signature; (b) identification of the material that was removed or disabled and the location at which it appeared before it was removed; (c) a statement, made under penalty of perjury, that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification; and (d) your name, mailing address, and telephone number, together with a statement that you consent to the jurisdiction of the federal court for the judicial district in which your address is located (or, if your address is outside the United States, any judicial district in which Zondo may be found), and that you will accept service of process from the person who provided the original notice or that person's agent.

7.4 Repeat Infringers.

Zondo will, in appropriate circumstances, suspend or terminate the accounts of users who are determined to be repeat infringers, consistent with Section 10.2.

8. Third-Party Services and Links

The Platform may rely on, integrate with, or contain links to services, content, or websites operated by third parties, including artificial intelligence, hosting, communications, and data-processing providers, as well as developers and their sales teams. Zondo does not control and is not responsible for third-party services or content, and their inclusion does not imply endorsement. Your use of any third-party service may be subject to that third party's separate terms and privacy practices, and is at your own risk. Zondo is not responsible for the availability, accuracy, or content of any third-party service or website.

9. User Information and Privacy

9.1 Privacy Policy.

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, and share information and is incorporated into these Terms by reference.

9.2 Lead-Sharing.

Certain features of the Platform connect you with developers. At registration, you provide separate consent to lead-sharing, and this consent is required to use the Platform. When you download documents for a specific development, or view live pricing or inventory for a specific development, Zondo will share your email address with the applicable developer or its sales team as a lead notification. Additional detail is provided in our Privacy Policy.

9.3 Communications.

By registering, you consent to receive transactional communications from Zondo that are necessary to operate the Platform and your account, including login links, account and license-verification notices, and system or service messages. You may separately opt in to receive optional product-update emails, and you may unsubscribe from those optional emails at any time.

10. Suspension and Termination

10.1 By You.

You may stop using the Platform and delete your account at any time through the in-app settings page. Following deletion, Zondo will delete or de-identify your personal data within thirty (30) days as described in the Privacy Policy, except for information that Zondo is permitted or required to retain by law, that remains in routine backups until those backups cycle, or that Zondo has already shared with a developer at your direction.

10.2 By Zondo.

Zondo may suspend or terminate your access to the Platform, in whole or in part, at any time and in its discretion, including if: (a) your real estate license lapses, becomes inactive, or cannot be verified; (b) you breach these Terms, including the no-sharing requirement in Section 1.3; (c) Zondo is required to do so by law or by the terms of any agreement governing data made available through the Platform; or (d) you are determined to be a repeat infringer of intellectual property rights as described in Article 7. Where practicable and not prohibited, Zondo will provide notice of termination.

10.3 Effect of Termination.

Upon termination, the licenses granted to you under these Terms immediately cease, and you must stop using the Platform and any content obtained through it. Sections and Articles that by their nature should survive termination, including Articles 4, 5, 6, 11, 12, 13, 15, and 16, and any other provision that by its nature should survive, will survive.

11. Disclaimers

11.1 General Disclaimer.

While Zondo strives to provide useful and reliable information through the Platform, including building profiles, developer pricing, documents, and Output, Zondo does not guarantee and makes no representation or warranty that any such information is complete, accurate, current, or error-free. You should independently verify all information before making any decision or taking any action in connection with a real estate transaction.

11.2 Specific Matters.

Without limiting the foregoing, building pet policies, rental and leasing restrictions, homeowners' and condominium association rules, and developer pricing and inventory may change without notice. Zondo is not responsible for outdated, superseded, or inaccurate information, and you are responsible for confirming current rules, restrictions, and pricing with the applicable association or developer.

11.3 Market Data and Forward-Looking Information.

The Platform may present market data, analytics, visualizations, and forward-looking information, including historical and projected condominium delivery, inventory, absorption, and pricing trends. Such information is compiled from various sources, is inherently uncertain, and is provided for general informational purposes only. It does not constitute a prediction, forecast, appraisal, valuation, or investment, financial, or market advice, and Zondo does not guarantee that any projection, estimate, or trend will prove accurate. You should not rely on any such information as the basis for any transaction, investment, or business decision.

11.4 No Professional Advice.

The Platform and all Output are provided for general informational purposes only and do not constitute legal, real estate, financial, tax, or other professional advice. Nothing on the Platform creates any professional or fiduciary relationship between you and Zondo. You remain solely responsible for your own professional advice to, and dealings with, your clients.

11.5 Fair Housing.

All real estate information made available through the Platform is subject to the federal Fair Housing Act, which makes it illegal to indicate any preference, limitation, or discrimination based on race, color, religion, sex, handicap, familial status, or national origin, as well as applicable Florida fair housing laws. All properties referenced are offered on an equal opportunity basis. You are responsible for complying with all fair housing laws in your use of the Platform and in your dealings with clients.

11.6 "As Is."

THE PLATFORM, ALL CONTENT, AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ZONDO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ZONDO OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZONDO'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO ZONDO FOR THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THE PARTIES ACKNOWLEDGE THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN.

13. Indemnification

You agree to indemnify, defend, and hold harmless Zondo and its officers, directors, employees, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any applicable law or the rights of any third party, including any client; or (d) any content you share, display, or transmit using the Platform.

Zondo reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Zondo in asserting any available defenses. You will not settle any matter that imposes any obligation on or otherwise affects Zondo without Zondo's prior written consent.

14. Changes to These Terms and the Platform

Zondo may modify these Terms from time to time. If we make material changes, we will update the "Last Updated" date above and, where appropriate, provide notice through the Platform or by email. Changes are effective when posted. Your continued use of the Platform after changes become effective constitutes your acceptance of the revised Terms. Zondo may also modify, suspend, or discontinue any part of the Platform at any time.

15. Dispute Resolution; Arbitration; Class Waiver

15.1 Informal Resolution.

Before initiating any arbitration, the parties agree to first attempt to resolve any dispute informally by contacting each other in writing and negotiating in good faith for at least thirty (30) days.

15.2 Binding Arbitration.

Except as set forth in Sections 15.4 and 15.5, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its applicable rules. The arbitration will be held in Miami-Dade County, Florida, and judgment on the award may be entered in any court of competent jurisdiction.

15.3 Class-Action and Jury-Trial Waiver.

THE PARTIES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY.

15.4 Exception for Intellectual Property and Equitable Relief.

Notwithstanding the foregoing, either party may bring an action in a court of competent jurisdiction in Miami-Dade County, Florida, seeking injunctive or other equitable relief to protect its intellectual property or confidential information, or to prevent unauthorized use of the Platform.

15.5 Small Claims.

Notwithstanding Section 15.2, either party may bring a qualifying individual claim in a small-claims court of competent jurisdiction in Miami-Dade County, Florida, instead of in arbitration, so long as the matter remains in that court and is brought only in an individual capacity.

16. General Provisions

16.1 Governing Law; Venue.

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Subject to Article 15, the parties submit to the exclusive jurisdiction and venue of the state and federal courts located in Miami-Dade County, Florida.

16.2 Entire Agreement.

These Terms, together with the Privacy Policy and any other agreement expressly incorporated by reference, constitute the entire agreement between you and Zondo regarding the Platform and supersede all prior or contemporaneous understandings.

16.3 Severability.

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

16.4 No Waiver.

Zondo's failure to enforce any provision of these Terms is not a waiver of its right to do so later.

16.5 No Agency.

No agency, partnership, joint venture, employment, or fiduciary relationship is created between you and Zondo by these Terms or your use of the Platform.

16.6 Assignment.

You may not assign or transfer these Terms or your account without Zondo's prior written consent. Zondo may assign these Terms without restriction.

16.7 Third-Party Beneficiaries.

Except as expressly stated in these Terms, there are no third-party beneficiaries to these Terms. The providers of data made available through the Platform retain ownership of their respective data and may enforce the use restrictions applicable to that data.

By creating an account or using the Platform, you acknowledge that you have read and agree to these Terms of Service.
